COLLABORATION AGREEMENT FOR PROFESSIONALS
BETWEEN EUROMOEBEL NEWLINE GMBH – VAT No.: CHE-114.608.208 – Letziweg 9, 4663 – Aarburg – hereinafter referred to as "EUROMOEBEL",
AND the company whose data was provided during registration on the EUROMOEBEL platform, hereinafter referred to as the “Professional”, and whose data shall be considered an integral part of this agreement.
PREMISES • EUROMOEBEL, through the website idaw.eu, promotes and sells customized furnishing solutions (hereinafter referred to as the “Product”);
• The Professional operates in the field of furniture and interior design and wishes to collaborate with EUROMOEBEL to access reserved benefits and improve their customer service.
Based on the above premises, the parties agree as follows.
1. OBJECT OF THE CONTRACTEUROMOEBEL grants the Professional access to a reserved area of the website, through which they can benefit from preferential commercial conditions for purchasing Products. This contract governs the terms of such collaboration.
2. BENEFITS FOR THE PROFESSIONALBy registering on the platform provided by IDAW, the Professional will have access to exclusive commercial conditions and services designed to optimize the management of their purchases:
• Reserved configurator: an exclusive tool to configure and visualize products with the final discounted price included VAT.
• Progressive discount: the more orders placed, the higher the discount percentage applied to future purchases. Additionally, independent management of both order formulation and post-sales issue resolution will be positively evaluated and may contribute to further increasing the Professional’s discount rate.
• Measurement taking, shipping to your end customer, and installation are included in the price.
• Network of Professionals: The Professional can create a network of collaborators, whose revenues will be jointly considered to determine the applicable discount level. A high volume of orders and independent, efficient management by all members of the network will contribute to an increase in discounts for everyone. Conversely, a reduction in order volume or ineffective management by one or more members may negatively affect the discount conditions applied to the entire network.
3. OBLIGATIONS OF THE PROFESSIONAL • Provide truthful and updated information for platform registration.
• Use the reserved area exclusively for professional purposes, without disclosing reserved commercial conditions to third parties.
• Place orders according to the procedures established on the website idaw.eu and comply with the agreed payment terms.
• Promptly report any issues related to configuration or supplies and collaborate with EUROMOEBEL for their resolution.
•Payment for orders can only be made via bank transfer to the account details provided by EUROMOEBEL. No other payment methods are accepted.
4. OBLIGATIONS OF EUROMOEBEL • Ensure access to the reserved area with the agreed benefits.
• Apply dynamic discounts based on the volume of orders placed by the Professional.
• Ensure the correct processing of orders and shipments, respecting the agreed timeframes.
• Provide technical and commercial support if needed.
5. RIGHT TO MODIFY DISCOUNT CONDITIONSEUROMOEBEL reserves the right to modify the discount percentage reserved for the Professional at any time, based on its own needs, without obligation to provide justification.
Furthermore, EUROMOEBEL reserves the right to reduce the discount percentage in the following cases:
• Low order volume: if the number of orders placed by the Professional is below a minimum threshold set by EUROMOEBEL.
• Lack of autonomy in placing orders: if the Professional requires excessive assistance in order entry, resulting in an overload of EUROMOEBEL’s customer support.
• Inefficient after-sales management: if the Professional demonstrates difficulties in handling issues related to completed orders, causing delays or inefficiencies in the post-sales support process.
6. CONTRACT DURATION AND TERMINATIONThis contract is of indefinite duration. Either party may terminate it at any time with a 30-day written notice sent via email or registered mail.
7. CONFIDENTIALITYEach party agrees to keep confidential all commercial and operational information related to the collaboration and not to disclose it to third parties without the written consent of the other party.
8. APPLICABLE LAW AND JURISDICTIONThis contract is governed by French law. Any disputes arising from this agreement shall be submitted to the exclusive jurisdiction of France.
9. APPLICABLE GENERAL CONDITIONSThe contractual conditions set out on the website idaw.eu apply in addition to those of this contract. In case of discrepancies or conflicts between the conditions published on the website and those established in this contract, the provisions of this contract shall prevail, without invalidating the other applicable general conditions.
By completing the registration request and clicking on “I confirm that I have read and accepted the contractual terms, with particular reference to points 3, 5, 6, and 9”, the Professional declares to have read, understood, and accepted the terms and conditions of this professional collaboration agreement.
